NOTICE: The contest rules have been revised on 2/5/2014 to adjust: Submission and Voting Period, Judging Period, Winner Announcement Date, Redemption Period for Grand Prize and deadline for request for Winners’ List.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT WILL NOT INCREASE YOUR CHANCES OF WINNING. THE FOLLOWING SKILL CONTEST IS INTENDED FOR VIEWING AND PARTICIPATION IN THE UNITED STATES (AND DISTRICT OF COLUMBIA) ONLY AND SHALL BE CONSTRUED AND EVALUATED ACCORDING TO ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS IN THE UNITED STATES. VOID IN PUERTO RICO AND WHERE PROHIBITED BY LAW.

ELIGIBILITY: The AMERICAN HOME SHIELD "Kidstructions How Does It Work?" Contest for ServiceMaster Affiliates and Partners (the "Contest") is open to entries submitted by legal residents of the United States and the District of Columbia, who are 21 years of age or older at the time of entry and who meet the additional elgibility requirements set forth in this Section 1 (the "Entrant" or "Entrants" or "you"). You must have internet access and accounts with Facebook and YouTube in order to enter this Contest. Your standard carrier rates may apply. To enter you must be an employee, officer, director, agent or representative of American Home Shield ("Sponsor"), Your Speakeasy, LLC ("Administrator"), any of their advertising and promotion agencies, or any of their respective parents, subsidiaries or affiliates (including all companies wt).

CONTEST PERIOD: Entries in English only will be accepted between 9:00:01 a.m. EST on January 22 and 11:59:59 p.m. EST on March 14, 2014 (the "Contest Period"). Administrator's computer is the official time-keeping device for the Contest.

HOW TO ENTER: To enter, must go to www.ahs.com/kidstructions or on Facebook located at http://bit.ly/Kidstructions (the “Site”) during the Contest Period and follow the instructions to submit a video from thirty (30) to sixty (60) seconds in length of a child or children answering the question "how does (x) appliance/system work" with respect to any appliance or system ordinarily found in the home ("Video"). Note: If you go to www.ahs.com/kidstructions to enter, you will be prompted to open your Facebook account prior to submission of the entry form. There will be one (1) age group for judging The age group will be ages 18 months to 12 years, as of January 1, 2014All entry information and Videos shall be referred to herein each as a "Submission" and collectively as the "Submissions." By participating in the Contest, you fully and unconditionally agree to and accept these Official Rules ("Rules") and the decisions of Sponsor, which are final and binding in all matters related to the Contest. Whether or not you receive a prize is contingent upon fulfilling all requirements set forth in these Rules (the "Contest Requirements"). To submit a Submission, Entrant must be a registered user of the YouTube site. To become a registered user of the YouTube site, Entrant must register for an account and agree to the YouTube site's "Terms of Service" set forth at www.youtube.com/t/terms ("Terms of Service"). In order to be eligible, each Submission must satisfy the submission guidelines ("Submission Guidelines") and Contest Requirements, as set forth herein. Submission(s) that do not include all the required information and adhere to the Rules, in the sole discretion of Sponsor, will be considered void. Sponsor may, in its sole discretion, remove, delete and/or disqualify any Submission and/or Entrant (as defined in these Rules) it deems inappropriate in accordance with the guidelines contained in Section 7 or any other applicable section of these Rules. Sponsor has no obligation to acknowledge voided Submission(s). Sponsor shall not be responsible for lost, misdirected or incomplete Submissions. Sponsor shall determine in its sole discretion if a Submission meets the Contest Requirements and otherwise complies with the Rules. Before uploading the Submission, you will be required to agree (a) that you have read or have had these Rules read to you and you are in agreement with these Rules, (b) that you have received permission for the use of the image/likeness of any and all identifiable persons who appear in your Submission, including from the parent or guardian of any minor, and (c) to log in to your YouTube account and Facebook account and grant the requested permissions. You may use a generic release form to confirm permissions from persons appearing in your Submission; however, if you are selected as a potential Finalist in the Contest, you may be required to obtain a release provided by Sponsor signed by each identifiable person, or the parent/guardian of the individual if a minor, appearing in your Submission confirming permission to use his or her image/likeness. All Submissions will undergo preliminary screening for compliance with these Rules before being published or judged; however, such review does not relieve Entrant from responsibility for compliance with these Rules.

This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook or YouTube. By entering, you understand that you are providing your information to the Sponsor and its Administrator, and not to Facebook or YouTube. In the event that there is a conflict between these Rules and the YouTube or Facebook terms of service or other applicable YouTube or Facebook terms, these Rules shall govern.

TERMS OF SUBMISSION: : Limit three (3) Submissions with max of two (2) children in each Submission per person/authorized YouTube account holder. Should multiple users of the same email account enter the Contest and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said e-mail account at the time of entry will be considered the Entrant. “Authorized account holder” is defined as the natural person who is assigned an e-mail address by an Internet access provider, on-line service provider or other organization which is responsible for assigning e-mail addresses or the domain associated with the submitted e-mail address. If any group elects to collaborate on a Submission, they are required to designate one (1) person as the agent of the group to enter the Contest, agree to these rules and accept the prize on behalf of the group. By participating in the Contest you permit public display of your entry materials and public voting in connection with your Submission. You may delete your Submission at any time before the Contest Period ends. Deleting your Submission will remove you from the Contest. Once submitted, Submissions will not be acknowledged or returned by Sponsor or Administrator.

If the actual, alleged or publicized conduct of any Entrant is illegal, or if any Entrant has been convicted of a felony, or in Sponsor’s sole discretion is otherwise grossly offensive or violates generally accepted standards of behavior (including but not limited to illicit drug use or public intoxication) or otherwise leads the Sponsor to reasonably believe or conclude that the public association with the Entrant subjects Sponsor to ridicule, contempt, controversy, embarrassment or scandal, Sponsor, in its sole discretion, may disqualify Entrant and such Entrant’s Submission will no longer be eligible for this Contest.

Entrant understands and agrees that Sponsor’s use in matters independently developed of material similar to or identical with the Submission or containing features or elements similar to or identical with those contained in the Submission will not obligate Sponsor to negotiate with Entrant, nor will it entitle Entrant to any compensation of any kind. Entrant agrees and acknowledges that nothing herein shall preclude Sponsor from using any material in or similar to the Submission without obligation to Entrant, including, but not limited to, if Sponsor has or has determined that it has an independent legal right to use such other material, including without limitation, because such features or elements were not new or novel, or were not originated by Entrant, or were or may hereafter be independently created by or submitted to Sponsor.

Entrant acknowledges that other Entrants may have used ideas and/or concepts in their Submission that may be similar in idea or concept to what is included in Entrant’s Submission. Entrant understands and agrees that he/she shall not have any claim against any other Entrant or Sponsor arising out any such similarity or be entitled to any compensation because of any such similarity.

RIGHTS GRANTED BY YOU: By entering this Contest and uploading your Submission, you agree that:

  • you irrevocably grant to Sponsor, its licensees, agents, successors and assigns, to the extent permissible by law, the unconditional and perpetual right and license to post, display, broadcast, publish, use, adapt, edit, translate, dub, and/or modify all or a part of your Submission, your name and address (city and state/province/territory), and the names, likenesses, photographs, voices, statements and images of all persons appearing in the Submission anywhere in the world, for future advertising, trade, promotion, publicity or any other purpose, in any manner and in any medium now known or hereafter devised, without compensation and without notice to you, and/or review or approval from you, without limitation; and
  • you will not now nor in the future be paid or receive any other compensation for your Submission or for granting the Sponsor any of the rights and/or licenses set out in these Rules; and
  • any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants; and,
  • any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants.

All Submissions that are uploaded and made available for viewing by the general public will be deemed posted at the direction of Entrant within the meaning of the Digital Millenium Copyright Act and the Communications Decency Act.

Your Representations and Warranties: By entering the Contest, you represent and warrant that:

  • your Submission, in its entirety, is an original work by you, has not been published, released or distributed previously (in whole or in part), has not won any award, and you have not included third party content (such as writing, text, graphics, artwork, logos, photographs, likeness of any third party, musical recordings, clips of videos, television programs or motion pictures) in or in connection with your Submission without permission;
  • your Submission, the use thereof by Sponsor of any of the rights granted by you under these Rules, does not and will not infringe or violate any rights of any third party or entity, including, without limitation, patent, copyright, trademark, trade secret, defamation, privacy, publicity, false light, misappropriation, confidentiality, or any contractual or other rights;
  • you have all the rights, licenses, permissions and consents necessary to submit the Submission and to grant all of the rights that you have granted to Sponsor under these Rules; and
  • all persons who were engaged by you to work on the Submission, who appear in the Submission in any manner, or have contributed to the Submission have:
    • given you their written consent to submit the Submission without claims for payment of any kind; and
    • provided written permission to include their name, likenesses, image or pictures in or with your Submission (for a minor, you must have the written permission of their parent or legal guardian) and you acknowledge that you may be asked by Sponsor to provide proof of such permission in writing to Sponsor.

SUBMISSION GUIDELINES: Your Submission may not contain, as determined by the Sponsor, in its sole discretion, any content that:

  • Is sexually explicit or suggestive; violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity or inappropriate dress of any kind, including wearing of swimwear or undergarments;
  • Promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous;
  • Is obscene or offensive; endorses any form of hate or hate group;
  • Defames, misrepresents or contains disparaging remarks about the Sponsor, or its products or any other people, products, brands or companies;
  • Contains trademarks, logos or trade dress (such as distinctive packaging or phraseology) owned by any entity;
  • Contains copyrighted materials owned by any entity (including photographs and other works of art or images or music);
  • Advertises or promotes any brand or product of any kind;
  • Contains any personal identification, such as personal names, street or email addresses, or phone numbers;
  • Violates or encourages the violation of any law, rule or regulation;
  • Contains materials embodying the names, likenesses or other indicia identifying any person;
  • Promotes any particular political party, agenda or message; and/or
  • Communicates messages or images inconsistent with the positive image and/or goodwill to with which the Sponsor wishes to associate the Contest.

Submissions must comply with the YouTube Terms of Service and YouTube Community Guidelines set forth at http://www.youtube.com/t/community_guidelines and all non-complying Submissions will be disqualified. Sponsor shall have the right to disqualify any Submissions that it deems to be obscene, vulgar, sexually explicit, lewd, derogatory, inappropriate, or otherwise not in good taste, as determined by Sponsor, in its sole discretion. Sponsor reserves the right, in its sole discretion, to remove or blur or to ask the applicable Entrant to remove or blur any non-material elements (e.g. small logos on clothing, artwork hanging in the background, music, etc.) rather than disqualify an otherwise compliant Submission. Sponsor reserves the right not to post a Submission for voting if it cannot, in Sponsor’s reasonable opinion, be altered in the manner described herein. If in Sponsor’s determination it is necessary to make minor, non-material adjustments to an otherwise compliant Submission in order to post or publish the Submission in a certain medium, Sponsor may, in its sole discretion, elect to do so, or may ask Entrant to do so. If Sponsor requests Entrant to make these adjustments and Entrant chooses not to make these adjustments, Submission is subject to disqualification, in Sponsor’s sole discretion.

PRIZES (PRIMARY): Sponsor will award prizes to Winner( (hereinafter defined) “Grand Prize”, “Runner Up”, and “Selected Finalist” as follows:

  • Grand Prize (1 total): $2,500.00 in cash and a one year American Home Shield 3x3 Combo Home Protection Plan. No substitutions or cash redemptions, except in Sponsor’s sole discretion. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value in the event the advertised prize becomes unavailable.

  • Runner Up Prize (1 total;): a $1,000.00 US Saving EE Bond and a one year American Home Shield 3x3 Combo Home Protection Plan. All taxes and any other expenses not specifically listed herein shall be the sole responsibility of Runner Up Winner. Any fees or service call fees are the responsibility of the winner. No substitutions or cash redemptions, except in Sponsor’s sole discretion. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value in the event the advertised prize becomes unavailable.
  • Selected Finalist Prize (1 total;): a one year American Home Shield 3x3 Combo Home Protection Plan. All taxes and any other expenses not specifically listed herein shall be the sole responsibility of Selected Finalist. Any fees or service call fees are the responsibility of the winner. Approximate retail value (“ARV”) of the AHS Home Protection Plan prize: up to $500 USD (prize value determined based on prize winner’s home state). Prize is non-transferable. No substitutions or cash redemptions, except in Sponsor’s sole discretion. In the case of unavailability of any prize, Sponsor reserves the right to substitute a prize of equal or greater value in the event the advertised prize becomes unavailable.

WINNER: Each Entrant whom Sponsor determines has a winning Submission (“Winner(s)”) will be selected on or about April 15, 2014 from all eligible Submissions received. If you are selected as a Winner, you will be notified of the selection of your Submission by the email address associated with your YouTube account. Winner(s) will be required to sign and return an Affidavit of Eligibility and Liability/Publicity Release (herein, the “Affidavit”) within ten (10) calendar days of prize notification. Grand Prize Winners will also be required to have companions and/or legal guardians of companions complete and return to Sponsor Liability/Publicity Releases for any such individuals accompanying the Winner on the prize trip. If a Winner cannot be contacted within ten (10) calendar days of first notification attempt, if a prize or prize notification is returned as undeliverable, if a Winner fails to return the executed Affidavit in the prescribed time period, if a Winner rejects his/her prize, or in the event of noncompliance with these Rules and Contest Requirements, such prize will be forfeited and an alternate Winner will be selected from all remaining eligible Submissions. No liability is assumed for any Winner notification that is lost, intercepted or not received for any reason. Upon prize forfeiture, no compensation will be given. In addition, if determined by Sponsor, Winners shall be required to submit the raw file of the Submission, or any original audio or video files used during production of the Submission, as part of eligibility verification prior to the prize being awarded. This may include, but may not be limited to, uncompressed QuickTime files, final audio mix and/or separate audio tracks for dialogue, music and effect. Once a Winner has signed and returned the Affidavit of Eligibility and the required Liability/Publicity Release(s) (including any additional Liability/Publicity Releases as described for a Grand Prize Winner) and his/her eligibility has been confirmed, the Winner will receive the prize. All decisions of the Sponsor in selecting the Winner(s) are final and binding on all Entrants in all matters relating to the Contest

PRIZE REDEMPTION: A prize is personal to the Winner and is non-transferable. If a Winner cannot be contacted, or fails to accept the prize within ten (10) days of confirmation under Section 9, the Winner forfeits the prize. Acceptance of any prize shall constitute and signify the Winner’s agreement and consent that Sponsor may use the Winner’s name, photo, city, state, likeness, actual or paraphrased statements, Submission (including Video) and prize information in connection with the Contest, worldwide, including on the internet, without limitation and without further payment or consideration, except where prohibited by law, in accordance with Section 5 of these Rules. Each Winner is responsible for all taxes and fees associated with receipt of the prize.

SELECTION: The selection process will take place in two stages as follows:

  • Public Voting (Stage 1): Online voting begins at 9:00:01 a.m. EST on January 22, 2014 and ends at 11:59:59 p.m. EST on April 4, 2014 (the “Voting Period”). Members of the public must have a Facebook account in order to vote. To place votes each day during the Voting Period, members of the public must go to www.ahs.com/kidstructions or on Facebook located at http://bit.ly/Kidstructions (collectively, the “Site”). Note: If members of the public go to www.ahs.com/kidstructions to vote, they will be prompted to open their Facebook accounts prior to submitting their votes for that voting session. During each day, each voter may place one vote for as many Videos as he or she desires (for example, the voter may choose to vote for only one Video or for multiple Videos during a day; however, a voter may not place more than one (1) vote for any individual Video during any one (1) day). A “day” is defined as from 12:00:01 a.m. EST on one day to 11:59:59 p.m. EST that same day. Each voter is limited to one (1) vote per person/authorized email account holder, per Video, per day during the Voting Period. Use of personal social media accounts, blogs and websites to direct participants to voting site is permissible. Sponsor has the right, in its sole discretion, to maintain the integrity of the Contest, including the right to void votes, including, but not limited to, the following reasons:

    • 1. Multiple votes for a Video from the same user from different IP addresses or from different email addresses during the same day; fraudulent entry votes (using a redirect link, a disguised link, a fraudulent link, etc.);
    • Technical malfunction of servers or internet connection;
    • User(s) recanting their own votes;
    • Technical or content upgrades that render votes incompatible or inconsistent;
    • Inappropriate conduct in promoting votes (spam, harassment, etc.);
    • The purchase or exchange of votes domestically or overseas;
    • Payment or other forms of compensation offered in exchange for votes; and
    • Use of third-party websites, online social networking tools, robotic, macro, automatic, programmed or similar devices primarily designed or intended to generate or trade votes.
    • Please note: Submissions for this Contest will be displayed in conjunction with submissions for the related Kidstructions - How Does it Work Contest (open to the General Public). Votes will be collected for all submissions; however, only votes for submissions from eligible Entrants in this Contest will be tabulated for prize consideration.


  • Final Judging (Stage 2): The top five (5) vote getting Submissions, , properly submitted during the Contest Period pursuant to these Rules will be included in the “Vote For Your Favorite” video finals voting. Sponsor will additionally choose two (2) Submissions, , to be included in the Final Judging. All other Submissions will be removed from the Contest webpage. Sponsor reserves the right, in its sole and absolute discretion, to disqualify any Submissions that violate the Submission Guidelines and other restrictions set forth herein. The decisions of the judges are final and will not be based on vote popularity.
  • Judging Criteria. The Final Judging will be conducted using the following criteria: (i) originality, (ii) creativity, (iii) appropriateness to theme, and (iv) quality of expression.

    Odds of winning depend on the number of Submissions received. By entering the Contest, Entrants fully and unconditionally agree to be bound by these Rules and the final vote count, Sponsor’s judges, and the decisions of Sponsor, which will be final and binding in all matters relating to the Contest.

GENERAL CONDITIONS: Sponsor has the right to verify your eligibility and compliance with these Rules, and to disqualify you on the basis of its investigation.

You may not enter with multiple e-mail and/or street addresses, nor may you use any other device or artifice to submit more than the allowed number of Submissions as described in these Rules to submit more than one (1) vote per Video, per day. If you use fraudulent methods to enter a Submission, or otherwise attempt to participate with multiple e-mail and/or street addresses under multiple identities, or use any device or artifice to enter more than the allowed number of Submissions, you will be disqualified. Sponsor reserves the right to cancel, modify or suspend the Contest at any time (subject to approval of any regulatory body having jurisdiction), if it is determined that the Contest cannot be run as originally planned or if fraud or any other occurrence comprises the fairness or integrity of the Contest.

PUBLICITY/PRESS RELEASES: Contest Entrants may not issue press releases or other publicity in connection with their participation in the Contest.

PRIVACY POLICY: Please see the Sponsor's privacy policy located at American Home Shield Privacy Policy for details of our policy regarding the personal information collected in connection with this Contest. In the event of a conflict between these Rules and the privacy policy, these Rules shall govern. By clicking agreement to these Rules, the Entrant authorizes the use and collection of his or her personal data for the purpose of conducting the Contest only (including publishing Winners’ full names and states, counties, provinces, territories or their equivalent, and/or disclosing them to third parties on request in accordance with the winners’ list request procedure set out below) and any other purposes to which you have consented. Sponsor will not sell, share or otherwise disclose information collected in any manner with third parties, other than those parties necessary to fulfill the above purposes.

LIABILITY PROVISIONS: Sponsor is not responsible for human error, theft, destruction, or damage to Submissions or other factors beyond its reasonable control.

You assume all risk of damaged, lost, late, incomplete, invalid, incorrect or misdirected Submissions. Sponsor makes no warranty, representation or guarantee, express or implied, in connection with its ability to in any way enable, develop or market the idea set forth in your Submission.

Sponsor shall not be liable to a Winner or any other person for failure to supply the prize or any part thereof, by reason of the prize becoming, for reasons beyond the reasonable control of Sponsor, unavailable or impracticable to award, or for any force majeure event, technical or equipment failure, terrorist acts, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond the Sponsor’s control.

The Sponsor, Administrator, Facebook, YouTube and their respective parents, employees, officers, directors, agents, contractors, representatives, affiliates, divisions, subsidiaries, resellers, dealers, distributors, and advertising/promotion agencies (the “Released Parties”) shall not assume any responsibility whatsoever for any of the following: delayed, failed, partial or garbled computer transmissions; technical failures of any kind, including, but not limited to, lost, interrupted or unavailable network, server, internet, or other connections; the availability, accessibility, technical failure or miscommunications of computer, satellite, telephone or cable transmissions; the incorrect or inaccurate capture or failure to capture information whether caused by Site or Site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest; errors of any kind whether human, mechanical, electronic, network or otherwise arising out of or relating to the Contest; theft, loss, destruction or damage to an Submission in whole or in part; and other factors beyond their reasonable control. The Released Parties are not responsible for injury or damage to your or to any other person’s computer related to or resulting from participating in the Contest or downloading materials from or use of the Site. The Released Parties are not liable in the event that any portion of the Contest is cancelled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a “Force Majeure Event”). Should a Force Majeure Event occur, Sponsor may, but is not obligated to, exercise commercially reasonable efforts to complete the Contest and award the prize(s) at another time or make a reasonable substitution, in its sole discretion.

LEGAL WARNING: ANY ATTEMPT BY YOU TO DELIBERATELY DAMAGE THE SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF APPLICABLE CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR AND ADMINISTRATOR RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW AND TO DISQUALIFY YOU FROM THE CONTEST.

LIMITATIONS OF LIABILITY AND RELEASE: BY SUBMITTING A SUBMISSION, YOU AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY YOU AND YOUR HEIRS, EXECUTORS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS FOR ANY CLAIMS, LIABILITIES, OR CAUSES OF ACTION OF ANY KIND OR NATURE FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES TO PERSONS, INCLUDING, WITHOUT LIMITATION, DISABILITY OR DEATH, AND DAMAGE TO PROPERTY, DUE IN WHOLE OR IN PART, ARISING DIRECTLY OR INDIRECTLY, NOW OR IN THE FUTURE FROM THE DELIVERY, ACCEPTANCE, USE OR MISUSE OF THE PRIZE, ANY AND ALL USE AS PROVIDED HEREIN OF YOUR SUBMISSION, OR PARTICIPATION IN THIS CONTEST AND/OR ANY RELATED CONTEST. BY PARTICIPATING, YOU FURTHER AGREE THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THE CONTEST, OR ANY PRIZES AWARDED, SHALL BE RESOLVED INDIVIDUALLY WITHOUT RESORT TO ANY FORM OF CLASS ACTION. WITHOUT LIMITING THE FOREGOING, EVERYTHING ON THE SITE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, IN WHICH CASE SUCH LIMITATION OR EXCLUSION SHALL APPLY ONLY TO THE EXTENT PERMITTED BY THE LAW IN THE RELEVANT JURISDICTION.

SEVERABILITY MODIFICATION: If any provision of the these Rules or the application of any such provision to any person or circumstance shall be declared to be invalid, unenforceable or void, such decision shall not have the effect of invalidating or voiding the remainder of these Rules, it being the intent and agreement of the parties that these Rules shall be deemed amended by modifying such provision to the extent necessary to render it valid, legal and enforceable while preserving its intent or, if such modification is not possible, by substituting therefore another provision that is valid, legal and enforceable so as to materially effectuate Sponsor’s intent, if such substitution is allowed by any applicable regulations governing this Contest .

CHOICE OF LAW/ARBITRATION: This Contest is conducted in the United States (including District of Columbia) and is governed by the laws of the State of Tennessee, United States. To the extent permitted by law, any controversy or claim arising out of or relating to these Rules and/or the Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Claims may not be resolved through any form of class action. Any such controversy or claim shall be arbitrated before a single arbitrator on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Shelby County, Tennessee. For any matters which are not subject to arbitration as set forth in these Rules and/or in connection with the entering of any judgment on an arbitration award in connection with these Rules and/or the Contest, the parties irrevocably submit and consent to the exclusive jurisdiction (including personal jurisdiction) and venue of the state and federal courts located in Shelby County, Tennessee.
